IN PARTNERSHIP
Your agreement gives you the guaranteed and exclusive right to open and operate a GDI Satellite within the geographic area specified in the GDI Satellite System Master Agreement. As a managing partner (i.e. minority owner) there is no term (other than standard termination rights and buy-out clauses) associated with this opportunity.
You can sell your share interest if you wish, subject to GDI approving the proposed purchaser and after GDI's first right of refusal on a share buy back.
You cannot buy a GDI Satellite Center as a passive investment - you must actively manage the business as a full time operator.
You can invest in a GDI Satellite Center in partnership with another person - a spouse, life partner, friend or business associate. Often partnerships are formed where individual parties have limited capital and decide to combine their resources. The nature of this partnership must be fully disclosed to GDI for acceptance.
If you are operating a GDI Satellite and you seek a further challenge, you may invest in a second Satellite. GDI Satellite Centers are an outstanding investment.
Should you choose to sell your share, you may not participate in the same industry for a specified period of time. Non-competition provisions are laid out in the GDI Satellite System Master Agreement.
The success of a GDI Satellite Center is dependant upon the joint efforts of GDI and the local managing partner, both of whom are committed to applying the GDI philosophy, curriculum and techniques for effective development of goaltending athletes.
